1. Acceptance of Terms
By accessing our website, using our services, or entering into a contract with Nimblox Technology and Management Consultancy (“Nimblox”, “we”, “us”, or “our”), you (“Client”, “you”, or “your”) agree to be legally bound by these Terms of Service (“Terms”). 4. Service Agreements & Project Scope
4.1 Statements of Work (SOW)
All engagements are governed by individual Statements of Work that detail:

Scope of services

Milestones and deliverables
-
Timelines
-
Fees and payment schedules
-
Client and provider responsibilities
4.2 Scope Adjustments
Changes to an agreed SOW must be made in writing and may be subject to additional fees.
5. Client Responsibilities
You agree to:

Provide accurate and timely information
-
Give necessary access to systems and personnel
-
Review and approve deliverables on time
-
Comply with relevant laws and regulations
You represent that you have full authority to enter into this agreement and that your use of our services is lawful.
6. Payment Terms
-
Prices may be quoted in CAD or USD as specified in the agreement
-
Canadian clients are subject to HST
-
International clients may be eligible for zero-rated tax
Late payments are subject to 1.5% monthly interest or the maximum allowable by law. Services may be paused for overdue accounts.
7. Intellectual Property

Each party retains ownership of pre-existing IP
-
Custom deliverables created for you become your property upon full payment
-
Nimblox retains rights to methodologies, tools, and anonymized data for internal use
8. Confidentiality & Data Protection
We treat all client data as confidential and maintain safeguards to protect it.
We comply with applicable privacy laws, including:

Personal Information Protection and Electronic Documents Act (PIPEDA)

Ontario and Canadian privacy legislation
We use encryption, access controls, and security audits to protect your data.
9. Limitation of Liability
Services are provided “as is” without warranties. Our total liability is limited to the amount paid for services in the past 12 months. We are not liable for:

Lost profits, revenues, or data

Indirect or consequential damages
-
Business interruption or third-party claims
10. Force Majeure
We are not liable for delays or failures due to events beyond our control, including natural disasters, cyberattacks, or government actions.
11. Termination
Either party may terminate:

With 30 days’ written notice
-
Immediately for material breach not cured within 10 days
-
Immediately upon insolvency
Upon termination, all outstanding payments become due. Confidentiality and IP obligations survive termination.
12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Ontario, Canada

Disputes will be handled in Ontario courts

Before litigation, parties agree to attempt mediation and, if necessary, binding arbitration
13. General Provisions

These Terms, along with any SOW, form the complete agreement
-
Amendments must be in writing and signed
-
If any provision is unenforceable, the rest remain valid
-
You may not assign this agreement without consent; we may assign with notice
-
This agreement does not create an employee or agency relationship

Not deploy scraping, bots, or malware
